Agreement to Terms

By accessing or using the Zatex Sols website and our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

These terms apply to all visitors, users, and clients of our website and services. We reserve the right to modify these terms at any time, and your continued use of our website or services constitutes acceptance of any changes.

Services

Zatex Sols provides brand strategy, visual identity, web design and development, motion and interaction design, growth and SEO, and content strategy and copywriting services. The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate statement of work or service agreement between you and Zatex Sols.

We reserve the right to refuse or terminate service to any client at our discretion, subject to any obligations under an active service agreement.

Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, case studies, and software, is the property of Zatex Sols and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.

Upon full payment of all applicable fees, ownership of final deliverables produced under a service agreement is transferred to the client. Zatex Sols retains the right to display completed work in portfolios, case studies, and marketing materials unless otherwise agreed in writing.

All pre-existing materials, tools, frameworks, and methodologies used by Zatex Sols in the course of delivering services remain our intellectual property.

Client Responsibilities

Clients are responsible for providing timely feedback, approvals, and materials necessary for the successful completion of a project. Delays caused by the client may result in adjusted timelines and additional costs.

Clients must ensure that all content and materials provided to Zatex Sols do not infringe upon the intellectual property rights of any third party. We are not liable for any claims arising from client-provided materials.

Payments and Billing

Payment terms, schedules, and methods are defined in each individual service agreement. Unless otherwise specified, invoices are due within 14 days of the invoice date.

Late payments may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to pause or terminate services if payment is not received within the agreed terms.

All quoted prices are exclusive of applicable taxes, which will be added to invoices as required by law.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This includes business strategies, trade secrets, unreleased products, and any other information marked as confidential.

This confidentiality obligation survives the termination of the service agreement for a period of two years.

Limitation of Liability

To the maximum extent permitted by law, Zatex Sols shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of our website or services.

Our total liability for any claims arising from a service engagement shall not exceed the total fees paid by the client under the applicable service agreement for the twelve months preceding the claim.

We do not warrant that our website will be uninterrupted, error-free, or free from viruses or other harmful components.

Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We will remedy, at no additional cost, any defects in our work that are reported within 30 days of project delivery.

Except as expressly stated above, we make no other warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

Termination

Either party may terminate a service agreement with 14 days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date.

We reserve the right to terminate immediate effect if the client breaches any material term of the service agreement or these terms of use.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Pakistan. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.
